Chapter II (Sections 322) of the Companies Act, 2013 (CA 2013) deals with the provisions related to incorporation of company and matters incidental thereto. Section 21 of CA 2013 provides for authentication of documents, proceedings and contracts.

Recently, we have discussed in detail section 20 (Service of documents) of CA 2013. Today, we learn the provisions of section 21 of Companies Act 2013 read with the Companies (Incorporation) Rules, 2014.

Section 21 of the Companies Act, 2013 has been notified by the Ministry of Corporate Affairs (MCA) vide Notification No. S.O. 2754(E) issued dated 12.09.2013. This notification was come into force from 12th September, 2013 i.e. the commencement date of section 21 is 12-9-2013.

Section 21 of Companies Act 2013: Authentication of documents, proceedings and contracts

Section 21 shall come into force on 12th September, 2013 vide Notification No. S.O. 2754(E) dated 12.09.2013.

Save as otherwise provided in this Act, —

  • (a) a document or proceeding requiring authentication by a company; or
  • (b) contracts made by or on behalf of a company,

    may be signed by any key managerial personnel or an officer or employee of the company duly authorised by the Board in this behalf.

Exception/ Modification/ Adaptation:

1) In case of Specified IFSC public company, for the words “an officer” read as “an officer or any other person”. –Notification No. G.S.R. 08(E) dated 4th January, 2017.

2) In case of Specified IFSC private company, in section 21, for the words “an officer” read as “an officer or any other person”. –Notification No. G.S.R. 09(E) dated 4th January, 2017.
